Subject: Election of successor independent board members
Dear Board Members,
As you know, the resignations of the present independent directors take effect at midnight tomorrow, and as you also know, under our by-laws only independent directors may elect new independent directors. In order not to leave the PCPL with a "constitutional crisis", and to assure an orderly transition, I am requesting an email vote of the independent directors on the election of the following well-qualified individuals to serve as independent board members. Our outside counsel confirmed that under the PCPL by-laws, our election of our successors is appropriate:
Ryan Balton. Ryan, a native of Milford, has been a supporter and volunteer at the PCPL since he was a teenager. In 2008, he was the PCPL's Volunteer of the Year, and he also donated to the PCPL the documentary he made on the Tock's Island dam.
Susan Keller of Dingmans Ferry. Susan has been a frequent volunteer and donor at library fundraisers. She grew up in the Dingmans area and her high school librarian was Board member Elspeth Goodin. A single mother, she raised her two children with the assistance of the PCPL and looks forward to helping it prosper.
